1. Acceptance of Terms 

By accessing or using OverseeAI Research (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree with any part of these Terms, you must not access or use the Service. 

2. Eligibility 

The Service is intended for use by insurance professionals operating within the property and casualty (P&C) insurance industry. To create an account, you must: 

  • Be an authorized representative of a business operating in the insurance industry; 

  • Register using a valid professional work email address issued by your employer or organization; 

  • Verify your email address as part of the account creation process; 

  • Be at least 18 years of age; and 

  • Comply with all applicable laws in your jurisdiction. 


Access to the Service is subject to approval by OverseeAI, Inc. You may request access by signing up and providing the registration information described above. OverseeAI, Inc. reviews each sign-up and, upon approval, grants access and assigns a free trial period appropriate to your intended use case, as described in Section 7. Individuals invited by an approved user under Section 4.3 must likewise satisfy the eligibility criteria above and accept these Terms before accessing the Service. 

OverseeAI, Inc. reserves the right to deny or revoke access to any user or organization that does not meet these eligibility requirements or that provides false or misleading registration information. 

3. Accounts and Security 

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to: 

  • Provide accurate and complete registration information; 

  • Keep your password secure and not share it with any third party; 

  • Notify OverseeAI, Inc. immediately at support@oversee-ai.com if you suspect any unauthorized access to or use of your account; and 

  • Not allow any other individual to access the Service using your account. 


OverseeAI, Inc. is not liable for any loss or damage arising from your failure to maintain the security of your account credentials. 

4. Permitted Use and Acceptable Use Policy 

4.1 Permitted Use 

Subject to these Terms, OverseeAI, Inc. grants you a limited, non-exclusive, non-transferable right to access and use the Service during the applicable Trial Period or licence term, solely for your internal business purposes in connection with insurance research in the P&C insurance industry. Except as expressly permitted in Section 4.3, you may not transfer or provide access to your account to any other person. 

4.2 Prohibited Use 

You may not use the Service to: 

  • Reproduce, resell, sublicense, or distribute any outputs, data, or content generated by the Service to third parties for commercial purposes; 

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or any underlying AI model; 

  • Scrape, crawl, or use automated means to access, extract, or download data from the Service in bulk; 

  • Use the Service to build, train, or improve a competing product or service; 

  • Input any confidential, proprietary, or personally identifiable information that you are not authorized to share; 

  • Use the Service in any manner that violates applicable laws, regulations, or third-party rights; or 

  • Interfere with or disrupt the integrity, security, or performance of the Service or its underlying infrastructure. 

4.3 Trial Licence Sharing 

During the Trial Period, an approved user may invite colleagues to access the Service, up to a number of additional users set or approved by OverseeAI, Inc. Each invited colleague must independently satisfy the eligibility criteria in Section 2 and accept these Terms upon first access. Invited colleagues access the Service as additional authorized users by invitation; this does not constitute a transfer or sublicence of your rights under these Terms. The inviting user and each invited colleague are individually responsible for their own compliance with these Terms. 

5. Nature of the Service and Limitation of Liability 

5.1 AI-Generated Research Tool 

The Service uses artificial intelligence to query and synthesize publicly available regulatory filings, including those submitted to state insurance departments through the System for Electronic Rate and Form Filing (SERFF) and related state regulatory databases. All outputs, answers, citations, and summaries generated by the Service are AI-generated and are provided for informational and research purposes only. 

5.2 No Professional Advice 

Nothing in the Service constitutes legal, actuarial, underwriting, compliance, regulatory, financial, or other professional advice. The Service is a research aid and should not be relied upon as a substitute for professional judgment. You are solely responsible for any decisions made based on information obtained through the Service. 

5.3 No Warranty on Data Completeness or Accuracy 

The underlying filing data surfaced by the Service is publicly available and sourced from third-party regulatory databases. OverseeAI, Inc. makes no representation or warranty that: 

  • Any output is complete, current, accurate, or error-free; 

  • All relevant filings for any carrier, state, or line of business have been captured; 

  • Filing data has not been subject to processing delay, omission, or error by the originating regulatory body; or 

  • AI-generated citations are free from hallucination, misattribution, or summarization errors. 

You should independently verify any material information before relying on it for business decisions. 

5.4 Limitation of Liability 

To the maximum extent permitted by applicable law, OverseeAI, Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunity, or reputational harm, arising out of or in connection with:

  • Your use of or reliance on the Service or any output generated by the Service; 

  • Any business decision made based on information obtained through the Service; 

  • Inaccuracies, omissions, or delays in the underlying regulatory filing data; 

  • Any error, hallucination, or misattribution in AI-generated outputs; or 

  • Any interruption, suspension, or termination of the Service. 

In no event shall OverseeAI, Inc.'s total aggregate liability to you exceed the amounts paid by you to OverseeAI, Inc. in the twelve (12) months immediately preceding the event giving rise to the claim, or one thousand US dollars (USD $1,000), whichever is greater. 

6. Intellectual Property 

6.1 OverseeAI Ownership 

The Service, including all software, AI models, algorithms, interfaces, platform design, documentation, and underlying technology, is the exclusive intellectual property of OverseeAI, Inc. and is protected by copyright, trade secret, and other applicable intellectual property laws. Nothing in these Terms transfers any ownership rights in the Service to you. 

6.2 User Queries 

You retain ownership of the queries and inputs you submit to the Service. By submitting queries, you grant OverseeAI, Inc. a limited, non-exclusive license to process your inputs solely for the purpose of delivering the Service to you. Your queries will not be used to train or improve AI models without your express written consent. 

6.3 Underlying Filing Data 

Regulatory filing data surfaced through the Service is publicly available and originates from government regulatory sources. OverseeAI, Inc. does not assert ownership over the underlying filing data itself. 

7. Trial Access, Licensing and Payment 

Access to the Service may be provided on a free trial basis to approved users and their invited colleagues. The trial is provided at no charge for a period determined by OverseeAI, Inc. based on your approved use case, which OverseeAI, Inc. may modify, extend, or end at its discretion (“Trial Period”). Upon expiry of the Trial Period, access to the Service will be locked and suspended unless a licence agreement is then in effect. 

Continued access to the Service after the Trial Period requires an executed licence agreement. Pricing, subscription terms, billing cycles, renewal terms, and entitlements are set out in the applicable Order Form or Master Services Agreement ("MSA") executed between you and OverseeAI, Inc. In the event of a conflict between these Terms and an executed MSA, the MSA shall govern with respect to commercial and pricing terms (including fees, subscription scope, billing cycles, and renewals), and these Terms shall govern with respect to all other matters, including governing law, dispute resolution, limitation of liability, intellectual property, and data use. 

Failure to pay fees in accordance with the applicable agreement may result in suspension or termination of access to the Service. 


8. Term and Termination 

These Terms remain in effect for as long as you maintain an active account or enterprise agreement with OverseeAI, Inc. Either party may terminate access in accordance with the terms of the applicable enterprise agreement. 

Access provided on a free trial basis ends automatically upon expiry of the Trial Period, at which point your access will be locked and suspended. Following expiry, your account and associated data will be retained for the period described in our Privacy Policy to allow for conversion to a licence agreement, after which it will be deleted or anonymized unless a licence agreement is then in effect. 

OverseeAI, Inc. may suspend or terminate your access immediately, without notice, if: 

  • You breach any provision of these Terms; 

  • You engage in conduct that poses a security risk to the Service or other users; 

  • Required to do so by applicable law or regulation; or 

  • You provide false or misleading registration information. 

Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including limitations of liability, intellectual property, and dispute resolution) will remain in effect. 

9. Service Availability 

OverseeAI, Inc. will use commercially reasonable efforts to make the Service available. However, the Service is provided on an "as is" and "as available" basis. OverseeAI, Inc. does not guarantee uninterrupted, error-free, or secure access to the Service and shall not be liable for any downtime, outages, or service degradation arising from maintenance, infrastructure failures, third-party service disruptions, or events outside OverseeAI, Inc.'s reasonable control. 

10. Modifications to the Service and Terms 

OverseeAI, Inc. reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. OverseeAI, Inc. also reserves the right to update these Terms from time to time. When changes are made, OverseeAI, Inc. will update the "Last Updated" date at the top of this document and, where material, notify you by email. Continued use of the Service following any update constitutes your acceptance of the revised Terms. 

11. Governing Law and Dispute Resolution 

These Terms are governed by, and construed in accordance with, the laws of the State of New York, without reference to the conflict of laws provisions thereof. In any action to enforce these Terms or arising out of these Terms, you consent to the jurisdiction of and venue in the federal and state courts located in New York, New York, for the adjudication of all matters relating hereto or arising hereunder. 

The parties unconditionally waive their respective rights to a jury trial for any claim or cause of action arising out of or relating to, directly or indirectly, these Terms or the Service. 

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information. 


12. Disclaimer of Warranties 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. OVERSEEAI, INC. EXPRESSLY DISCLAIMS ALL SUCH WARRANTIES. 

13. General Provisions 

13.1 Entire Agreement 

These Terms, together with any applicable enterprise agreement or MSA, constitute the entire agreement between you and OverseeAI, Inc. with respect to the Service and supersede any prior agreements or understandings. 

13.2 Severability 
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. 
13.3 Waiver 

OverseeAI, Inc.'s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. 

13.4 Assignment 
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of OverseeAI, Inc. OverseeAI, Inc. may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets. 
13.5 Indemnification 

You agree to indemnify and hold harmless OverseeAI, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and reasonable expenses (including reasonable attorneys’ fees) arising from (a) your use or misuse of the Service, (b) your breach of these Terms, or (c) your violation of any applicable law or any third-party right in connection with your use of the Service. 

13.6 Feedback 

If you provide OverseeAI, Inc. with any suggestions, ideas, enhancement requests, or other feedback relating to the Service, you grant OverseeAI, Inc. a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback for any purpose without obligation or compensation to you. 

13.7 Publicity 

OverseeAI, Inc. may identify your organization as a user of the Service, including the use of your organization’s name and logo, on its website and in marketing materials, subject to any branding guidelines you provide. You may opt out of such use at any time by contacting support@oversee-ai.com.
